Please read these terms and conditions carefully before using the UK Install website or engaging our services. By using this website you accept these terms in full.
Terms & Conditions for Business Customers
These Terms and Conditions apply to services supplied by UK Install (“UK Install”, “we”, “us” or “our”), to customers acting in the course of a business, trade or profession (“Customer”, “you” or “your”).
By accepting a quotation, issuing a purchase order, instructing us to proceed, booking an installation, or allowing work to commence, you agree to these Terms and Conditions.
Where a written quotation, scope of works, booking confirmation or other project-specific agreement conflicts with these Terms and Conditions, the project-specific written agreement will take priority to the extent of that conflict.
Our Services
UK Install provides professional installation services including, but not limited to:
- vinyl graphics and vinyl application;
- window graphics;
- signage installation;
- point-of-sale and POS displays;
- retail displays and retail installations;
- events and exhibition installations;
- pop-up shop installations;
- multi-site and national rollouts;
- out-of-hours and weekend installation;
- removals, changes and associated installation work; and
- other related installation and project services agreed in writing.
The exact scope of each project will be as described in our quotation, booking confirmation, purchase order acceptance or other written agreement.
Quotations
Unless otherwise stated in writing:
- quotations are provided free of charge;
- quotations are valid for 30 days from the date of issue;
- prices are based upon the information available to us at the time of quotation;
- prices are exclusive of VAT where VAT is applicable; and
- a quotation may be revised if the scope, quantity, location, timing, access requirements, working conditions or other relevant circumstances change.
Our quotation is based on the Customer providing complete and accurate information.
Where information supplied by the Customer proves inaccurate or incomplete, UK Install reserves the right to revise the price accordingly.
Formation of Contract
A binding contract may arise when UK Install accepts the Customer’s instruction or purchase order, confirms a booking, or begins work at the Customer’s request.
Any terms contained in a Customer’s purchase order, supplier portal, procurement document or other document will not override these Terms and Conditions unless UK Install expressly agrees to those alternative terms in writing.
The absence of a Customer purchase order number will not excuse or delay payment where the Customer has otherwise authorised or instructed the work, unless UK Install expressly agreed in advance that receipt of a purchase order was a condition of proceeding.
The Customer is responsible for ensuring that any employee, site contact, project manager, agency, contractor or representative giving instructions to UK Install has authority to do so. UK Install may reasonably rely upon instructions given by an authorised project or site representative.
Credit Terms and Payment
Standard credit terms, where approved by UK Install, are 30 days from the date of invoice, unless otherwise agreed in writing.
Credit facilities are offered entirely at UK Install’s discretion.
UK Install may carry out appropriate business credit checks or request credit information before granting credit terms.
For new Customers, Customers whose creditworthiness cannot reasonably be verified, Customers with an unsatisfactory payment history, or where we otherwise reasonably consider there to be a credit risk, UK Install may require:
- full payment in advance;
- a deposit;
- staged payments;
- payment before mobilisation;
- payment immediately upon completion; or
- another payment arrangement agreed in writing.
UK Install may withdraw or reduce credit facilities for future work where circumstances reasonably justify doing so.
All invoices must be paid in full in cleared funds by the due date.
Any genuine query or dispute concerning an invoice should be raised as soon as reasonably possible after receipt.
The Customer must not withhold payment of an undisputed amount merely because another part of an invoice is disputed.
Late Payment, Interest and Debt Recovery
Where payment is overdue under a qualifying commercial contract, UK Install reserves the right to exercise all rights available under the Late Payment of Commercial Debts (Interest) Act 1998, together with any regulations, amendments or replacement legislation applying at the relevant time.
This may include charging statutory interest on overdue amounts at the applicable statutory rate.
At the date of these Terms, statutory interest for qualifying commercial debts is calculated at 8 percentage points above the applicable Bank of England base rate.
UK Install also reserves the right to claim the applicable statutory fixed compensation for each qualifying late payment, currently:
- £40 for a debt up to £999.99;
- £70 for a debt from £1,000 to £9,999.99; and
- £100 for a debt of £10,000 or more.
Where permitted by law, UK Install may also recover reasonable additional costs incurred in recovering overdue sums, including reasonable administration, debt recovery, professional and legal costs.
These rights are in addition to the original amount owed.
Suspension for Non-Payment
Where an invoice remains unpaid for more than 14 days after its contractual due date, UK Install may, upon notice to the Customer:
- suspend ongoing work;
- decline to attend further booked sites;
- suspend future phases of a rollout or project;
- withhold further services; and/or
- decline to accept additional work,
until overdue amounts have been paid in cleared funds or another arrangement acceptable to UK Install has been agreed.
UK Install will not be responsible for delays to completion caused by a lawful suspension for non-payment.
Where suspension causes additional mobilisation, travel, accommodation, labour, access equipment, storage, administration or other costs, those additional costs may be charged to the Customer.
Cancellation and Postponement
We recognise that installation schedules can change and that retail and commercial sites are sometimes delayed.
Accordingly, a Customer may cancel or postpone a booking without a cancellation charge where at least 24 hours’ notice before the agreed start time is provided.
The Customer will, however, remain responsible for any specifically authorised or unavoidable non-refundable third-party costs already committed on its behalf.
Cancellation with less than 24 hours’ notice
Where less than 24 hours’ notice is provided, UK Install will charge a cancellation fee equal to:
50% of the agreed labour or installation charge for the cancelled booking, plus any non-recoverable costs already incurred.
Cancellation after mobilisation
Where the installation team has already been mobilised, has commenced travel to the site, has arrived at the site, or the cancellation occurs during the booked attendance, UK Install reserves the right to charge:
100% of the agreed labour or installation charge for that attendance, together with any non-recoverable travel, parking, accommodation, access equipment or other project costs.
These cancellation charges reflect the labour and resources specifically reserved for the booking and the reduced opportunity to reallocate those resources at short notice.
For multi-site rollouts, each agreed site visit or installation shift may be treated as a separate booking for cancellation purposes.
A postponement may be treated as a cancellation where insufficient notice is provided and UK Install is unable reasonably to redeploy the booked labour or resources.
UK Install will not apply overlapping cancellation and aborted-visit charges for the same loss.
Site Readiness and Customer Responsibilities
The Customer is responsible for ensuring that the installation location is ready for UK Install to commence work at the agreed time.
Unless otherwise expressly agreed, the Customer must ensure that:
- safe and sufficient access is available;
- relevant areas are clear and accessible;
- surfaces and installation areas are in a suitable condition;
- required permissions, landlord approvals and site authorisations have been obtained;
- security personnel and site management are aware of our attendance;
- loading, unloading and parking arrangements have been made where necessary;
- any required permits to work or inductions can be completed without unreasonable delay;
- appropriate power, lighting or other facilities are available where required;
- any relevant asbestos information, hazardous-area information or other health and safety information has been supplied;
- other trades will not prevent or materially obstruct the installation;
- Customer-supplied materials, graphics, displays, fixtures and components are on site, complete and ready for installation; and
- the information, measurements and specifications supplied to UK Install are accurate.
Waiting Time
UK Install will allow up to 30 minutes of reasonable waiting time following the agreed site attendance time where a delay occurs through no fault of UK Install.
Where UK Install is prevented from commencing or continuing work beyond that period because of circumstances outside our reasonable control, additional waiting time may be charged at our applicable hourly or day rate.
This can include delays caused by:
- site access;
- security;
- unfinished building or decorating work;
- missing keys;
- unavailable site contacts;
- permits or inductions;
- missing Customer materials;
- other contractors;
- unavailable access equipment; or
- a site otherwise not being ready.
Where continued waiting would unreasonably disrupt our schedule, UK Install may treat the attendance as an aborted visit.
Aborted Visits and Return Visits
Where UK Install attends at the agreed time but cannot carry out any meaningful work because of circumstances outside our reasonable control, the original attendance remains chargeable at the agreed booking rate.
Where a further visit is necessary to carry out the work, the return visit may also be charged at the same agreed rate as the original booking where the original work could not be undertaken at all.
Where a substantial part of the work has been completed and only a smaller additional visit is required because of Customer requirements, site conditions, missing items or another matter outside UK Install’s control, the return visit will instead be charged reasonably according to:
- labour required;
- time on site;
- travel;
- expenses;
- equipment required; and
- other resources reasonably necessary to complete the work.
Snagging and Our Own Workmanship
UK Install stands behind its own workmanship.
Where a return visit is required solely because of an error, omission or defect in UK Install’s own workmanship, UK Install will not charge the Customer for the reasonable work necessary to rectify that issue.
The Customer should notify UK Install promptly after discovering any alleged workmanship issue and provide reasonable information, photographs or access where required so that the issue can be assessed.
A no-charge rectification visit will not apply where the problem has been caused wholly or partly by:
- defective or unsuitable Customer-supplied materials;
- incorrect dimensions or artwork provided by the Customer or a third party;
- unsuitable or defective surfaces;
- movement, deterioration or failure of the underlying substrate;
- alterations or interference by another contractor;
- accidental or deliberate damage after installation;
- misuse;
- environmental or weather conditions outside those reasonably expected for the product;
- failure of products or components not supplied by UK Install; or
- another circumstance outside UK Install’s reasonable control.
Where responsibility is shared, the parties will seek to agree a fair allocation of the reasonable rectification costs.
Customer-Supplied Graphics, Materials and Components
Where vinyl, graphics, signage, POS units, display components, artwork, fixings or other materials are supplied by the Customer or by a third party appointed by the Customer, the Customer is responsible for ensuring that they are:
- of the correct type;
- the correct size and quantity;
- properly manufactured;
- complete;
- fit for their intended purpose;
- suitable for the intended substrate and environment; and
- available at the correct location and time.
UK Install is not responsible for manufacturing defects, inaccurate printing, incorrect dimensions, incorrect artwork, missing components or material incompatibility in Customer-supplied products, except to the extent that UK Install itself caused the relevant problem.
Where UK Install identifies an apparent issue before or during installation, we will notify the Customer where reasonably practicable.
We may stop work if we reasonably believe continuing would produce an unsatisfactory result, cause damage, breach health and safety requirements or waste materials.
Surfaces and Substrates
The quality and longevity of an installation can depend upon the condition and suitability of the surface or substrate.
The Customer must inform UK Install of any known or suspected issue that could affect installation, including delicate finishes, recently painted surfaces, damaged surfaces, specialist coatings or other unusual conditions.
UK Install may decline to install onto a surface that we reasonably consider unsuitable.
Where the Customer instructs UK Install to proceed after we have raised a specific concern, UK Install will not be responsible for failure or damage attributable to that identified condition, except to the extent caused by UK Install’s negligence.
Additional cleaning, preparation or remedial work beyond that reasonably anticipated in the quotation may be charged as a variation.
Measurements and Site Information
Where measurements, drawings, photographs, specifications or other site information are supplied by the Customer or a third party on the Customer’s behalf, UK Install is entitled to rely upon them.
The Customer is responsible for errors arising from inaccurate Customer-supplied information.
Where UK Install carries out a site survey or takes measurements as part of our agreed scope, we will do so with reasonable care and skill.
Variations and Additional Work
Any change to the agreed scope may result in additional charges.
Variations include, without limitation:
- additional items;
- additional installation areas;
- changes to specification;
- changes to programme or working hours;
- additional site visits;
- changes requested by the Customer or end client;
- unexpected access restrictions;
- additional cleaning or preparation;
- additional equipment;
- additional labour;
- unforeseen site conditions; or
- requests made while our installers are already on site.
Where reasonably practicable, UK Install will advise the Customer of the likely additional cost before undertaking a material variation.
Where an authorised Customer representative requests additional work on site that must reasonably be carried out immediately, UK Install may treat that instruction as authority to proceed and charge the additional work at our applicable rate.
Working Hours and Out-of-Hours Work
Work will be carried out during the hours agreed for the relevant booking.
Evening, overnight, weekend, bank holiday, emergency and other out-of-hours services may be subject to different rates where stated in the quotation or booking.
Where a delay caused by the Customer, site or another contractor requires work to continue outside the originally agreed hours, additional charges may apply.
Travel, Parking and Additional Expenses
Unless expressly included within our quotation, UK Install may charge reasonably incurred project-specific expenses including:
- parking;
- tolls and road charges;
- permits;
- accommodation;
- specialist access equipment;
- courier or delivery costs;
- additional mileage or travel;
- storage; and
- other necessary third-party costs.
Where significant additional expenditure becomes necessary unexpectedly, UK Install will seek Customer approval before committing that expenditure where reasonably practicable.
Health and Safety
UK Install will take reasonable steps to perform its services safely and in accordance with applicable health and safety requirements.
The Customer must provide a safe working environment and inform UK Install of site-specific risks before work begins.
UK Install may refuse to commence work, or may suspend work, where we reasonably believe conditions are unsafe.
A suspension on legitimate health and safety grounds will not constitute a breach of contract by UK Install.
Where unsafe conditions arise from matters outside UK Install’s control, resulting delay, waiting time or re-attendance may be chargeable.
Programme and Completion Dates
UK Install will use reasonable efforts to meet agreed installation dates and times.
Unless expressly agreed in writing that a particular date or time is guaranteed and is of the essence of the contract, installation dates and completion dates are estimates made in good faith.
UK Install will not be liable for a failure to meet an estimated completion date where delay results from circumstances outside our reasonable control or from an act or omission of the Customer.
Delays Outside Our Control
UK Install will not be responsible for delay or failure to perform caused by events outside our reasonable control.
These may include, for example:
- severe weather;
- transport disruption;
- road closures;
- site closures;
- power failure;
- industrial disputes;
- accidents;
- emergency restrictions;
- shortage or late delivery of materials;
- failure of third-party suppliers;
- unexpected restrictions imposed by a landlord, shopping centre, venue or local authority;
- acts or omissions of the Customer or another contractor; or
- other events which could not reasonably have been prevented by UK Install.
Where such an event occurs, UK Install may reschedule the affected work.
Subcontractors and Installation Teams
UK Install may use suitably experienced employees, installers, subcontractors or specialist partners to deliver any part of the services.
UK Install remains responsible for work carried out on its behalf to the extent required by the contract and applicable law.
Customer Artwork and Intellectual Property
Where the Customer supplies artwork, logos, photographs, graphics, designs, trademarks or other content for installation, the Customer confirms that it has the necessary rights, licences and permissions for UK Install to use those materials for the purpose of carrying out the project.
UK Install will not be responsible for claims arising solely because materials supplied or specifically instructed by the Customer infringe the rights of a third party.
The content, text, imagery and other materials appearing on the UK Install website may not be reproduced or commercially exploited without permission except where permitted by law.
Liability
UK Install will perform its services with reasonable care and skill.
Nothing in these Terms excludes or limits any liability which cannot lawfully be excluded or limited, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which applicable law does not permit to be excluded.
Subject to the above, UK Install will not be liable for indirect or consequential loss or for loss of profit, revenue, business, opportunity, anticipated savings or goodwill arising from a booking, to the extent that such liability can lawfully be excluded.
Subject always to applicable law and the reasonableness of any limitation, UK Install’s total aggregate liability arising from a particular booking or project will not exceed the total charges paid or payable to UK Install for the relevant booking or project giving rise to the claim.
This limitation does not remove UK Install’s obligation to rectify defects in its own workmanship as described above.
Suspension or Termination
UK Install may suspend or terminate work where:
- invoices remain unpaid as provided in these Terms;
- the Customer commits a serious or repeated breach of contract;
- site conditions are unsafe;
- the Customer prevents UK Install from carrying out the services;
- required access is repeatedly unavailable;
- the Customer becomes insolvent or appears unable to pay debts as they fall due; or
- continuing the work would require UK Install to act unlawfully.
Where reasonably practicable, UK Install will give the Customer an opportunity to remedy a remediable breach before terminating the contract.
Termination does not remove the Customer’s obligation to pay sums already due or charges properly incurred before termination.
Force Majeure
Neither party will be liable for failure to perform an obligation where performance is prevented by an event genuinely outside that party’s reasonable control, provided that the affected party takes reasonable steps to minimise the effect of the event.
Payment obligations relating to services already supplied are not excused by this clause.
No Waiver
If UK Install chooses not to enforce a provision of these Terms on one occasion, this does not prevent UK Install from enforcing that provision on another occasion.
Granting additional time to pay or waiving a cancellation or other charge on one occasion does not create an obligation to do so in the future.
Severability
If any provision of these Terms is held by a court or competent authority to be invalid or unenforceable, the remaining provisions will continue in effect.
Where reasonably possible, an invalid provision will be interpreted or modified only to the minimum extent necessary to make it lawful and enforceable.
Entire Agreement
The relevant quotation, written scope of works, booking confirmation and these Terms together form the agreement between UK Install and the Customer concerning the relevant services.
Neither party relies upon a statement or representation which is not included in, or expressly incorporated into, that agreement, except that nothing in this clause limits liability for fraud or fraudulent misrepresentation.
Changes to These Terms
UK Install may update the website version of these Terms from time to time.
Changes will apply to future bookings and contracts and will not retrospectively alter an existing contract unless both parties agree otherwise.
The version applicable to a booking will normally be the version in force when the booking or instruction is accepted.
Website Use
Information on this website is provided for general information.
UK Install takes reasonable care over its website content but does not guarantee that all information will always be complete, error-free or up to date.
Website content may be changed without notice.
Nothing on this website constitutes a binding quotation unless expressly identified as such.
Privacy
Personal information supplied to UK Install will be handled in accordance with our Privacy Policy and applicable data protection requirements.
Our Privacy Policy should be read alongside these Terms where personal information is provided through the website, email, telephone or during a project.
Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to the contract between UK Install and the Customer has no right to enforce its terms.
Governing Law and Jurisdiction
These Terms and any contract between UK Install and the Customer are governed by the laws of England and Wales, unless expressly agreed otherwise in writing.
The courts of England and Wales will have jurisdiction in relation to disputes arising from the contract, subject to any mandatory law which applies to work carried out in another jurisdiction.
